Welcome to SimpliOne (“SimpliOne,” “we,” “us,” “our”), a platform owned and operated by KXJ Multiservice OPC Pvt Ltd. SimpliOne is a business-to-business partner portal that enables registered partners (“Partner,” “you”) to submit compliance, tax, registration, and documentation service requests on behalf of their own clients. By registering on SimpliOne or using any part of this platform, you agree to be bound by these Terms & Conditions.
1. Nature of the Platform
SimpliOne is a backend fulfillment platform for business consultants, agents, freelancers, shop owners, and individuals who wish to offer compliance and registration services (such as GST Registration, FSSAI Registration, Trademark Filing, Company Incorporation, and related services) to their own clients under their own brand or relationship.
Partners are independent third parties. SimpliOne processes and fulfills the service requests submitted by Partners; SimpliOne does not interact directly with the Partner’s end clients unless specifically required for statutory verification (such as OTP-based authentication mandated by a government portal).
2. Eligibility and Registration
- Any individual or entity of legal age (18 years or above) may register as a Partner, subject to KYC verification as determined by SimpliOne from time to time.
- SimpliOne reserves the right to accept, reject, or suspend any Partner account at its sole discretion, including for incomplete KYC, suspicious activity, repeated document discrepancies, or violation of these Terms.
- Partners are responsible for maintaining the confidentiality of their login credentials and are liable for all activity under their account.
3. Partner Responsibilities
As a Partner, you agree that:
- You are solely responsible for your relationship with your end clients, including the pricing you charge them, the representations you make about turnaround time, and the accuracy of information you collect from them.
- You will submit only genuine, accurate, and complete documents belonging to your actual client, obtained with that client’s knowledge and consent.
- You will not misrepresent SimpliOne’s services, guarantee outcomes that are not within SimpliOne’s control (such as government approval timelines), or make claims on SimpliOne’s behalf.
- You are responsible for collecting your own service charges from your client. SimpliOne is only entitled to the fixed platform/service fee applicable to the specific service submitted, as displayed on the platform at the time of submission.
- You will not use the platform for any unlawful purpose, including submission of forged documents, benami transactions, or filings intended to mislead any government authority.
4. SimpliOne’s Role and Limitations
- SimpliOne facilitates the processing and filing of the requested service based on the documents and information submitted by the Partner. SimpliOne does not verify the underlying accuracy of a Partner’s representations to their own client.
- Turnaround times displayed on the platform are estimates and depend on government portal processing times, document completeness, and query resolution. SimpliOne is not liable for delays caused by government authorities, payment gateway issues, or incomplete/incorrect documentation submitted by the Partner.
- SimpliOne reserves the right to raise a query, request additional documents, or decline to proceed with a submission where documents appear incomplete, inconsistent, or non-compliant with applicable law.
5. Fees and Payment
- The platform fee for each service is fixed and displayed on the service catalog. This fee must be paid in full before processing begins, unless otherwise agreed in writing.
- Fees paid to SimpliOne are exclusive of any government fees, statutory charges, or third-party costs, which are the Partner’s or end client’s responsibility to bear separately.
- SimpliOne is not a party to, and has no visibility or control over, the amount a Partner charges their own end client.
6. Intellectual Property
All content, branding, design, and technology on SimpliOne remain the property of KXJ Multiservice OPC Pvt Ltd. Partners are granted a limited, non-transferable right to use the platform solely for submitting and tracking service requests.
7. Confidentiality
SimpliOne will treat documents submitted by Partners as confidential and use them solely for the purpose of fulfilling the requested service. Partners similarly agree to keep any non-public information about SimpliOne’s processes, pricing, or systems confidential.
8. Limitation of Liability
To the maximum extent permitted by law, SimpliOne’s total liability for any claim arising from use of the platform shall not exceed the platform fee paid by the Partner for the specific service giving rise to the claim. SimpliOne shall not be liable for indirect, incidental, or consequential loss, including loss of business, loss of a Partner’s client, or reputational harm.
9. Suspension and Termination
SimpliOne may suspend or terminate a Partner’s access at any time, with or without notice, in case of breach of these Terms, suspected fraud, or misuse of the platform. Partners may discontinue use of the platform at any time; obligations relating to confidentiality and outstanding fees survive termination.
10. Governing Law
These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts at Karimganj, Assam.
11. Changes to These Terms
SimpliOne may update these Terms from time to time. Continued use of the platform after changes are posted constitutes acceptance of the revised Terms.
